If you are a highly motivated and experienced Corporate Paralegal seeking the next step in your career with a fantastic law firm in Dallas, APPLY HERE! This position offers the flexibility of 2-3 days working remotely, while fostering collaboration through in-office presence. You will play a vital role in supporting Corporate Attorneys with complex mergers and acquisitions (M&A) and private equity transactions. This is an excellent opportunity for a paralegal with a deep understanding of M&A processes and a proven track record of success.

Responsibilities, including but not limited to:

Draft and review transaction documents, including purchase agreements, stock purchase agreements, asset purchase agreements, annual reports, resolutions, by-laws, certificates of formation, operating agreements, and merger agreements.

Conduct due diligence research, including reviewing and analyzing corporate documents, contracts, and financial statements.

Corporate Governance and entity formation/management

Assist with legal filings with the Securities and Exchange Commission (SEC) and other regulatory agencies.

Manage closing documents and post-closing matters.

Coordinate with clients, opposing counsel, and other professionals involved in the transaction.

Assist with conducting legal research and preparing memoranda on relevant M&A legal issues.

Draft and file EIN applications with IRS.

Prepare and file UCC financing statements and releases.

Prepare minutes and maintain corporate minute books.

Maintain and organize transaction files electronically and in hard copy.

Meet deadlines and maintain a high level of accuracy in all work performed.

Qualifications:

Minimum of 5 years of experience in M&A transactions/Private Equity and Corporate Governance.

In-depth knowledge of M&A legal principles and procedures.

Strong understanding of corporate governance and business structures.

Excellent drafting and editing skills, with a keen eye for detail.

Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).

Experience with legal research databases and document management systems a plus.

Excellent organizational skills and the ability to manage multiple tasks effectively in a fast-paced environment.
