Our client, a capital markets company, is seeking a Corporate Paralegal.
This role will support their US-based Legal Department, which provides legal services to the company's trading and investments teams in support of acquisitions, divestitures, equity investments and joint ventures, as well as support and guidance on a range of other transactions and corporate matters.
This position will report directly to 2 Senior Legal Counsel.
Job Responsibilities:
Support the corporate, M&A, Finance and Trading legal functions
Prepare first drafts of basic corporate documents from forms or simple precedent, such as: board resolutions, simple intercompany assignment or contribution agreements, standard side letters, incorporation documents, engagement letters, etc.
Draft and revise LOIs, MOUs, PCGs
Negotiate ISDAs
Coordinate with the company's London-based Corporate Secretary with respect to U.S.-based corporate governance documents
Review and summarize governance requirements in LLCAs, LPAs and similar constitutional documents
Participate in legal due diligence of potential acquisition targets
Support for preparing virtual data rooms in connection with dispositions of assets and/or identifying key documents in virtual data rooms in connection with the acquisition of assets
Support for records and contracts management, which may include supporting the Legal Department to adopt new processes, procedures, and technologies for record keeping functions
Document review in connection with discovery requests during litigation proceedings
Develop strong relationships with attorneys in the New York office, with an eye toward identifying potential areas of support for each one’s unique workstream
Assist with other corporate and finance legal matters as needed
Job Requirements:
Minimum of 5 years’ experience across a broad range of corporate governance and transactional legal functions
Excellent communication and interpersonal skills, strong judgement, and an eagerness to learn
Demonstrates good organizational skills and exhibits aptitude to develop specific and detailed knowledge and understanding of complex issues and procedures
Strong time management skills with ability to multi-task and work in a very fast-paced and team-oriented environment
Basic familiarity with commodity and derivative transactions and related documentation (including ISDA Master Agreement, NAESB, ISDA Commodity Definitions) preferred but not required
Proficient in Microsoft Office
