Job Summary

The Senior Paralegal performs a variety of complex legal-tasks under minimal supervision of Attorneys and other Law team members. This role provides professional assistance and support to the legal staff in the development, research, management and resolution of legal issues involving their practice group which includes Corporate Governance, Transactional matters, including Contract and Client Management, Litigation, Governmental and Regulatory Affairs, and Operational and Lending matters. The Senior Paralegal prepares and drafts moderately complex legal documents.

Essential Job Functions

Document Preparation: With minimal supervision, utilizes strong attention to detail and accuracy to assist with the preparation, drafting, and filing of legal documents, including, but not limited to, contracts, letters, agreements, procedures, corporate filings/resolutions and business responses. Maintains strict confidentiality working with sensitive legal documents and information. Utilizes knowledge of Microsoft Office tools such as Word, Excel, PowerPoint, and Teams as well as Adobe Acrobat to execute daily work.

Reporting and Analysis: Assists in obtaining complex information from legal documents for tracking, analysis, and reporting purposes. Identify trends and work with Legal Supervisor to update policies and procedures as needed. Identify issues and work with other Legal team members to respond to various department, business and external inquiries. Displays strong written and verbal communication and interpersonal skills when partnering with internal stakeholders and external partners, including executive officers, directors and outside counsel to assist with various projects.

Process and Project Management: Consistently meets deadlines while facilitating multiple responsibilities and focusing on priority issues. Proactively identifies trends and works to enhance processes, policies, and procedures as needed by applying problem solving and innovative thinking skills to achieve business objectives and directives. Maintain files and databases, including contract lifecycle management system, Share Point and matter management system. Provides administration, analysis and summarization of information, which may include contract terms, litigation facts, laws, regulations, processes and procedures and intellectual property.

Distinction (Business Support):

The role performs complex legal review and analysis, and drafting support, in connection with a variety of legal and contractual matters. The Senior Paralegal reviews and negotiate Vendor contracts, NDAs, and assist with Brand contracts, as needed. This role assists with updating, auditing, maintenance, and reporting of data and maintaining and developing processes, procedures, and workflows. With an understanding of complex legal, business, regulatory issues and laws, utilizes innovative thinking and legal principles to effectively problem solve business issues. Effective working in a deadline intensive environment, managing multiple responsibilities while effectively focusing on priority issues, while demonstrating the ability to maintain strict confidentiality with strong attention to detail and accuracy.

Distinction (Corporate Governance):

Research, analyze, and understand complex legal and regulatory issues and laws, including those related to corporate governance and bank rules and regulation. Demonstrated knowledge and understanding of business, governance, and regulatory issues in order to anticipate business and team needs. Exercises independent judgment to fulfill entity management responsibilities, including entity formation, registration, maintenance, and drafting of corporate documents. Provides Board meeting support and direction, including logistics coordination, material management, drafting, reviewing, and administrating related documents such as agendas, minutes, resolutions, and consents. Utilizes strategic thinking and decision making in relation to Board software management. Project lead and demonstrated ownership of policies and procedures. Provides regulatory examination support and advice in relation to document creation, collection, and provision. Maintains governance and regulatory documentation, including corporate records, Bank Board material, minutes, etc. Organization and maintenance of Corporate Governance and Bank Regulatory team intranet sites.

Distinction (Litigation):

Responsible for reviewing, researching and summarizing issues related to incoming demand letters and legal complaints, including those matters with a high degree of complexity. Leverages business systems, including VCARS, Docuware, BID Inquiry tool, Salesforce, Web Collections, Kana, NICE, etc. to perform legal analysis and draft case summaries. Partners with outside counsel to assist in the resolution of legal matters. Responds to outside counsel information requests. Works to resolve and settle various legal matters in-house. With little to no direction from Attorneys, drafts affidavits, declarations and manages the entire discovery process. Serves as a mentor and subject matter expert to others on the team, including paralegals and legal coordinators. With little to no direction/oversight from attorneys, performs case summary reviews that are reviewed with various business stakeholders.

Minimum Qualifications:

Degree Preferred: Certificate or Associates Degree or equivalent experience

Area of Study: Paralegal, Paralegal Studies or other related area

Years of Work Experience Required: Two or more years

Type / focus of work experience required: Legal Secretary/Paralegal and/or related

Preferred Experience:

Degree Preferred: Bachelor’s degree with Paralegal Certificate

Area of Study: Paralegal Studies or related field

Years of Work Experience Preferred: Three or years

Type / focus of work experience preferred: Legal or related experience

Typical Pay Range: $33.60 - $60.85

Full Pay Range for position:Washington: $35.30 - $70.00

The actual base pay within this range may be dependent upon many factors, which may include, but are not limited to, work location, education, experience, and skills.

Bread Financial offers medical, prescription drug, dental, vision, and other voluntary benefits (including basic and optional life insurance, supplemental medical plans, and short and long-term disability) to eligible associates (regular full-time associates scheduled to work 30 hours per week or more) and their spouses/domestic partners, and child(ren) under the age of 26. New associate elected coverage begins on date of hire (with the exception of disability coverage which has a 6-month waiting period). Six weeks of 100% paid parental leave for eligible parents is available after a 180-day waiting period. Hired associates, both full time and part time, can immediately enroll in Bread Financial’s 401(k) plan.

All associates receive 11 paid holidays. Full-time hourly associates receive a bi-annual grant of Paid Time Off (“PTO”) in each January and July based on their service date and scheduled hours, whereas newly hired full time hourly associates in their first year of employment receive a prorated PTO grant on their 61st day of employment based on the month of hire and scheduled hours. Associates will receive a payout of any unused PTO, up to 40 hours, paid out in the next calendar year (except associates in Alaska, California, Colorado, Montana and Nebraska who are paid for all unused PTO). Additionally, hourly associates (except those in California) generally receive 72 hours of Paid Sick Leave Plus (“PSL+”) per calendar year, with a pro-rated grant in the associate’s first year of employment to the extent allowed by applicable law. If additional PSL+ is required in a particular jurisdiction, the company with comply with applicable law. Unused PSL+ does not carry over from one calendar year to the next unless required by applicable law. Instead of PSL+, hourly associates in California receive 80 hours of Paid Sick and Safe Time (“PSST”) upon hire and at the beginning of each subsequent calendar year.

Hired associates will be able to elect the purchase company stock during offering periods in June and December.
