Corporate Counsel

Position:

Vision RNG is seeking an experienced Corporate Counsel to join our legal team based in Canonsburg, PA. This position’s primary focus will be providing legal advice, risk management, and support across all aspects of our business, with a particular focus on contracts, compliance, and regulatory matters related to the biogas and renewable energy industry. The ideal candidate will have a strong background in contracts and corporate law, with experience in renewable energy preferred but not required.

Primary Responsibilities:

Lead contract negotiation efforts with our business partners, including industry leading project owners, general contractors, subcontractors, and suppliers, to achieve contract terms and conditions consistent with our standard polices and acceptable risk profiles.

Analyze, evaluate, draft, and negotiate commercial agreements, including master agreements, lease agreements, purchase agreements, non-disclosure agreements, and other similar contracts.

Collaborate closely with corporate leadership, project managers, purchasing managers and other personnel during the contracting process to achieve business objectives and mitigate risks.

Produce and communicate legal analysis to senior management.

Ensure timely and professional communications with all departments.

Other duties or projects as assigned.

Requirements:

Undergraduate degree (B.A. or B.S.)

Juris Doctorate (JD) degree from an accredited law school and admission in good standing to a state bar. (PA bar preferred)

Minimum of 5+ years of relevant experience.

Minimum of 2+ years of in-house legal department work experience.

Must have verifiable experience reviewing and drafting contracts.

Proficiency in Microsoft Office Suite.

Appropriate and professional oral and written communication skills.

Demonstrated leadership qualities, including effective management of multiple priorities, strong organizational skills, maintenance of business relationships, and team building.

Self-starter that thrives in a fast-paced environment and is capable of operating independently.
