Our legal team has an immediate opening for an experienced Securities Paralegal to support Verisign’s securities and corporate governance functions.

Responsibilities

As a member of the paralegal team, you will support all aspects of the Company’s securities and corporate governance functions and work collaboratively with other members of the paralegal team on Law Department initiatives and support

Oversight of all Section 16 matters, including preparing and filing Forms 4, under the supervision of an attorney

Assist in the administration of the insider trading policy, including managing trading window logistics, access person list and organizing/tracking 10b5-1 trading plans

Assist in the Company’s processes for Director and Officer Questionnaires, including related person transaction tracking and updating corporate records with cross-functional teams

Responsible for overall maintenance of the Boardvantage electronic Board portal

Direct the planning and logistics for the Annual Stockholders Meeting

Maintain and coordinate team calendars and tasks

Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks, and proxy statements) and associated disclosure control processes

Assist with general corporate governance matters, including benchmarking best practices, and other special projects or tasks on an as-needed basis

Work with the external auditor on quarterly reviews and year-end audit

Manage corporate and subsidiary minute books

Partner with paralegal team in supporting the broader needs of the Law Department

Qualifications

Excellent teammate with experience partnering with and supporting paralegal peer groups

8+ years corporate and securities paralegal experience with a law firm or in-house

Bachelor’s degree and/or Paralegal Certificate

Strong verbal and written communication skills

Acute attention to detail and ability to manage firm deadlines

Maintain the highest level of confidence, integrity and business ethics

Proficient in MS Office Suite (specifically Word, Excel and PowerPoint) and SharePoint

Knowledge of SEC’s EDGAR filing system

Knowledge of Nasdaq’s Boardvantage and Workiva a plus

This position is based in our Reston, VA office and currently offers a flexible, hybrid work schedule.

The pay range is $96,700 - $130,800.

The anticipated annual base salary range for this position is noted above, however, base pay offered may vary depending on job-related knowledge, skills, experience. Verisign offers a discretionary bonus which is based on individual and company performance, and certain roles may be eligible for discretionary stock awards.
