The Team

CAST (Corporate and Strategic Transactions) is a team within Capital One's Legal Department that is at the tip of the spear in executing on Capital One's transactional activity, including mergers & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business transactions, card programs, and corporate real estate transactions. The Role

The Manager, Counsel - Real Estate is a hybrid business counsel/transactional attorney role that will be responsible for advice and counsel on a variety of complex real estate matters, working alongside others in CAST supporting the Company’s Global Workplace Services (GWS) and Retail Bank real estate teams.

Responsibilities Include:

Independently managing (including drafting and negotiating) a wide range of corporate real estate transactions – with a focus on leasing, purchase and sale agreements, land use/zoning matters, landlord-tenant disputes, and other real property matters

Collaborate with multiple cross-functional teams and stakeholders in support of the Company's real property transactions, risk analysis related to both office and retail portfolios, and regulatory monitoring

Independently identify and propose mitigation plans for legal and operational risks in proposed transactions and processes related to corporate real estate, including serving as the legal risk steward in forums tasked with the same

Proactively propose and implement process improvements that promote efficiencies and advise on internal guidelines and procedures

Build and maintain strong relationships with legal and business stakeholders

Implement and manage repeatable, controlled processes for transactional work

When necessary, managing and coordinating outside counsel, including management of the delivery of services and cost

The Person

An ideal candidate will be a seasoned legal professional with proven ability to operate effectively in a complex, highly regulated, and evolving environment, and will have the following experience and skills:

Ability to manage multiple transactions, take on new responsibilities and handle novel issues is critical

Exceptional negotiation skills and the ability to identify, lead and manage a negotiation team

Ability to advise and counsel business groups on legal issues related to real property

Capacity to understand and balance business goals with legal risk, and ability to articulate the reasoning behind legal advice

Demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels

Ability to work in a fast-paced environment with minimal supervision

Strong organizational skills with impeccable attention to detail

Excellent analytical, oral and written communication skills

Ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries

Ability to work in a dynamic environment and flexibility to adapt to changing needs

Ability and desire to learn new areas of law

Ability and willingness to work as a team player

Strong communication and interpersonal skills

Basic Qualifications

Juris Doctor from an accredited law school

Active member in good standing of at least one state bar

At least 3 years of experience as an attorney in a law firm, government or an in-house legal department, or a combination, with a focus on real property transactions (including both landlord and tenant side) and third party procurement, vendor or outsourcing transactions (including from the buy side)

Preferred Qualifications

4+ years of experience as an attorney in a law firm, government or an in-house legal department, or a combination, with a focus on real property transactions (including both landlord and tenant side) and providing physical security guidance.

2+ years of experience providing advice and counsel on real property and physical security matters to clients in the financial services industry

2+ years of experience providing advice and counsel on complex real property transactions including land use, environmental, leasing, dispositions and acquisitions; experience handling landlord-tenant disputes

2+ years of experience providing advice and counsel on complex physical security matters, including life safety, threat management, access control and mixed use development security

Experience with Google Workspace
