Main Purpose:Assist legal department members in all legal, regulatory and corporate tasks. Assistance to be provided with quality and responsibility. Will be Involved in all different types of tasks such as having control of all corporate mandatory obligations in several jurisdictions; assistance in the drafting of various legal documentation; assist in other matters when requested such as litigations controls. Person to have direct and fluent communication with other departments of the Company also with external law firms in several jurisdictions in LATAM region

Knowledge Skills and Abilities, Key Responsibilities:

Preparing board/committee meetings and taking the minutes, drafting necessary resolutions and preparing presentations, when requested

2. Taking care of all corporate secretary matter in LATAM region

3. Preparing board and shareholder resolutions and legal letters

4. Assist in organization and restructuring Impala group entities including company closures, incorporations, mergers and transfers, capital increase, change of director, etc.

5. Taking care of the litigation lists, litigation and claims matters including re-doing the formatting and reporting style, liaising/following up regularly with external lawyers and internal stakeholders on developments, negotiating and drafting settlements

6. Take care of bank and all external KYC matters

7. Provide corporate legal support on Impala and affiliates corporate matters such as preparation of NDAs, PoAs, etc.

8. Follow up main legislative changes potentially affecting activities of Impala and affiliates

9. Maintaining regular communications with board members of all companies, affiliates’ members, etc. as needed

10. Assist in drafting, reviewing and negotiating all types of contracts, agreements, general terms and templates

11. Support members of the legal department in business development projects and deals, including legal coordination, drafting/review of contractual documentation when required

12. Assist on other legal matters such as IP matters, establishment of contract management system, as needed

13. Participate in the organization of the Legal team (filing of contracts and documents, reporting requirements, follow up of documents/invoices/etc.)

Principal Accountabilities:

• Provide corporate secretary and legal assistance to Impala and affiliates

• Making sure appropriate Legal support/control is provided to areas of responsibility

• High quality corporate work

• High quality litigation work

• Liaising with different departments and external advisors relating to corporate matters

• Follow-up on projects and assignments to reach objectives and respect deadlines

Know how and experience required:

• Bachelor’s degree in law

• Spanish mother tongue, full working proficiency in English

• Professional experience in a recognized law firm in Guatemala or as in-house legal counsel in a company

• Communication skills, especially when it comes to discussing legal matters with internal clients and counterparties

• Organizational skills and time management

• Collaboration and interaction at group and affiliates’ level

• Accurate, attention to details, conscientious

• Autonomous and pro-active

• Ability to meet tight deadlines

• Ability to travel when necessary
