Position: Full-Time Technology Transactions & Sourcing Associate Location: Atlanta, GA Experience Level: 3–5 Years of Experience Salary Range: U.S.

Offices: $260,000 – $365,000 annually An AmLaw firm is seeking a Technology Transactions & Sourcing Associate to join its industry-leading practice group.

This position is open to candidates across U.S.

offices, with a preference for Atlanta.

This is a unique opportunity to work on sophisticated, high-value technology and commercial transactions across industries, representing leading technology companies, Fortune 500, and Global 2000 clients.

Quick Qualifications Snapshot 3–5 years of experience in technology transactions and commercial contracts Experience negotiating complex agreements (software, cloud, IP, outsourcing) Strong background in drafting and structuring technology deals Experience with IP due diligence in corporate transactions preferred Excellent analytical, writing, and project management skills Strong academic credentials from a top-tier law school About the Practice Group The Technology Transactions & Sourcing team advises clients on complex commercial and technology-related matters across industries.

Core areas of work include: ️ Technology development, licensing, and commercialization ️ IT and business process outsourcing (BPO) transactions ️ Software, cloud, and SaaS agreements ️ Digital infrastructure, telecom, and data center deals ️ E-commerce, distribution, and channel agreements Clients include leading technology developers, emerging companies, and global enterprises.

Key Responsibilities Structure, negotiate, and close complex commercial and technology agreements Draft and negotiate software licensing, cloud services, and IP agreements Support outsourcing, procurement, and digital infrastructure transactions Advise on AI/ML, data, and emerging technology agreements Conduct IP due diligence for M&A, private equity, and corporate transactions Collaborate with cross-office teams on multi-jurisdictional matters Qualifications • J.D.

from an accredited law school with strong academic credentials • 3–5 years of experience in technology transactions or commercial contracting • Experience with software, cloud, IP, and outsourcing agreements • Familiarity with AI/ML, digital assets, payments, or emerging technologies is a plus • Experience conducting IP due diligence in corporate transactions preferred • Strong analytical, drafting, and project management skills • Ability to work collaboratively across teams and offices • Self-starter with strong organizational and communication skills Compensation & Benefits Compensation is based on experience, skills, and location.
