Job Details Responsibilities: Lead and manage a broad spectrum of private equity transactions, including buyouts, recapitalizations, growth equity investments, and exit transactions Advise on fund formation, LPA, and private placement memorandum Manage relationships with investors, sponsors, and portfolio companies Develop and maintain a portable book of business, attracting new clients while retaining and growing existing client relationships Oversee acquisitions, divestitures, and other corporate finance transactions Provide legal advice on a range of issues relating to fundless sponsors and independent sponsors Structure and negotiate debt, equity, and mezzanine financing transactions Provide expert guidance on corporate law and entity formation Qualifications: Juris Doctor (JD) degree from an accredited law school A minimum of 5 years of experience in a similar role, with a strong focus on private equity, M&A, and corporate finance Proven track record as an Equity Partner, Income Partner, or Principal Extensive experience with leveraged buyouts (LBOs), recapitalizations, growth equity investments, and fund formations Solid understanding of LPA and private placement memorandum Demonstrated ability to manage relationships with investors, sponsors, and portfolio companies Proven ability to develop and maintain a portable book of business Strong experience with acquisitions, divestitures, and other corporate finance transactions Deep knowledge of fundless sponsors and independent sponsors Expertise in structuring and negotiating debt, equity, and mezzanine financing transactions Profound knowledge of corporate law and entity formation Excellent negotiation, communication, and leadership skills.
