EXPERIENCE
International Bedding Group, Ft. Lauderdale, FL June 2010 – February 2012
Chief Financial Officer - $150 million privately held national bedding manufacturer. Managed 33 professionals at multiple locations, reported directly to the Board of Directors. Position included many COO operational responsibilities in addition to traditional CFO roles.
• Rehabilitated this distressed, highly leveraged company resulting in the successful sale to a strategic investor for an enterprise value significantly greater than the initial value when I took on this role (initial liquidation estimate $3MM vs. sales price of $8MM).
• Generated over $15 million in additional working capital allowing the company to remain competitive, implement profit improvement initiatives and launch the largest product roll out in its history, all while not having access to external credit facilities.
• Implemented both fiscal and operating controls to initially stabilize the business environment before ultimately driving several strategic initiatives to increase unit selling price, reduce operating costs and increase corporate and operational efficiencies. Successfully improved EBITDA from a $3MM loss in FY2010 to a break-even run rate during FY2011.

Controller - $200 million privately held international commercial cleaning franchise company. Managed 20 professionals, reported to the CFO. Responsible for all Controllership and Treasury functions.
• Developed strategic business plans and related models to evaluate ROI and Cash Flows related to alternative growth strategies, which also included due diligence reviews regarding several master franchise acquisitions.
• Negotiated many key contracts, including insurance & benefit renewals and implemented cost initiatives resulting in over $2 million in savings during a two year period. Also renegotiated debt covenants and revolver.
• Key executive for development of “Confidential Information Memorandum” related to company’s sales and recapitalization efforts. Responsible for all financial analysis and related investor queries.
PRC, LLC. (Precision Response Corp), Ft. Lauderdale, FL June 1998 – January 2008
Vice President and Controller - $500 million public and later private, multi-location, international business process outsourcing company, providing customer care solutions to Fortune 500 clients. Managed 30 staff. In charge of Accounting, Financial Reporting (SEC), Financial Planning & Analysis, Treasury, Tax, Risk Management, MIS and Payroll. Developed cross-functional teams to drive efficiency improvements throughout the organization.
• Effectively led implementation of Oracle 11i platform. Responsible for project requirements, process re-engineering, user testing, post-implementation review and the development of user training courses.
• Reengineered and built financial infrastructure to support revenue growth from $250 million to $500 million during various economic cycles and ownership structures.
• Established mid-month flash reporting, monthly balanced scorecard and a “best in class” 5-day financial closing and reporting process. Developed framework allowing executives and key managers to better understand the relationships between metrics, economics and financial results in order to more effectively drive performance.
• Integrated the accounting operations of two subsidiaries and centralized the company’s billing processes resulting in annual savings of $300K and $400K respectively. Successfully resolved contract dispute with the Company’s largest customer, resulting in avoidance of a $3 million chargeback.
• Spearheaded initial adoption of Sarbanes Oxley (SOX) and related best practices which were ultimately adopted by the worldwide parent company (IAC Interactive).
• Key financial liaison between company and private equity investors regarding an LBO, including initial marketing efforts, pre-acquisition due diligence, modeling and analysis, as well as post-acquisition purchase accounting, valuation, and preparation of initial stand-alone financial statements.
• Supported Pre-Packaged Chapter 11 reorganization, including daily liquidity and working capital management, extensive financial modeling, banking relationships, vendor negotiations and regulatory compliance.
Magnivision, Pembroke Pines, FL May 1996 – May 1998
Controller - $100 million domestic manufacturer of reading glasses (subsidiary of American Greetings). Responsible for traditional controllership functions, as well as supporting the manufacturing and sales teams.
• Increased ROI through reductions in DSO & Inventory, as well as improvements in sales and profitability.
• Performed strategic analysis of business units leading to the sale of two divisions.
• Created customer profitability models used for contract negotiation and capacity optimization strategies.
• Restructured the accounting organization resulting in eliminated positions and $250K in annual savings.

Outsource International, Boca Raton, FL June 1995 – May 1996
Finance Manager - $300 million privately held, 130 location, national provider of flexible industrial staffing services. Key responsibilities were treasury related and included banking relationships, covenant compliance, cash management, real estate lease negotiations and lease-buy analysis. Key member of IPO team in charge of broker selection, due diligence, research, and the preparation of initial offering memorandum, including filing of S-1 Registration Statement. Reported to CFO.
Trico Products Corporation, Buffalo, NY July 1988 – May 1995
Corporate Assistant Controller (1994-1995) - $700 million publicly held, “Tier 1” international manufacturer of automotive windshield wiping systems with operations in the US, Mexico, England and Australia. Progressed from Corporate Accounting Manager to Plant & Division Controller roles and ultimately to Corporate Assistant Controller. In this last role, primary responsibilities included the marketing and ultimate sale of this closely held company including preparation of the Offering Memorandum and all due diligence. Led the successful integration of accounting operations between the two companies. Finally, all SEC Financial Reporting was under my domain.
Plant & Division Controller – Texas/Mexico Operations (1991-1994)
Texas/Mexico twin plants represented 80% of North American production. Supported all plant operations including Financial Planning and Analysis, Financial Reporting, Plant Accounting, Purchasing, Manufacturing, Engineering, Quality and Distribution. Reported to the Vice President of Operations with 53 total staff and 6 direct reports.
• Consolidated U.S. and Mexico Finance teams improving efficiency and reducing costs by $400K.
• Led effort to outsource many non-productive, non-core manufacturing operations resulting in plant restructuring and an annual increase in Gross Margin of over $30 million or 4%.
• Developed company-wide KPI’s and Scorecards to effectively measure success and target areas of opportunity.
• Implemented Activity Based Costing (ABC) System to more accurately measure product standard costs.
• Formulated “Cost of Quality’ model identifying costs of poor quality leading to substantial vendor recovery.
• Led several cost reduction initiatives generating $4 million freight, import/export tariff, and scrap savings.
Manager – Corporate Accounting (1988-1990)
Responsibilities included managing a high performance finance team, monthly closing, consolidation, analysis, SEC Reporting, budgeting/forecasting and conducting operational audits and managing the external audit.
• Responsible for Financial System conversion to an IBM AS400 platform.
• Increased Finance Department efficiency and reduced closing/reporting cycle by 5 days via staff development, process re-engineering, and reduction of unnecessary reports.
