A $275M NASDAQ company providing ion implantation and ancillary products and services to the global semiconductor industry.

VICE PRESIDENT - FINANCE

Supervised a staff of 20 in a Sarbanes Oxley environment with oversight over the company’s annual audit, revenue recognition, accounts payable, credit & collections, payroll, taxation, 404 compliance and SEC reporting.

• Researched, designed, documented and implemented the Company’s adoption of EITF 08-1 - Revenue Arrangements with Multiple Deliverables.

• Researched and finalized the Company’s financial reporting taxonomies required for implementation of XBRL reporting.

• At the Audit Committee’s request, initiated the Company’s first Enterprise Risk Management (ERM) project.

• Revamped the company’s intercompany inventory profit elimination process to properly eliminate the effects of foreign exchange and freight and handling costs.

CHIEF ACCOUNTING OFFICER and CORPORATE CONTROLLER

Provided financial and technical leadership for a staff of 25 in a Sarbanes Oxley environment with oversight over the company’s: annual audit, accounts payable, credit & collections, payroll, inventory, taxation, SEC reporting (including signature and certification), debt compliance and vendor incentive functions.

• Obtained IRS approval and established the infrastructure for an Advanced Pricing Agreement with a new Irish subsidiary which reduced the Company’s effective tax rate by 10%.

• Selected, tested and rolled out a new provider of vendor incentive services ($20M in annualized volume servicing over 3,000 dealers) and stock compensation software.

• Provided technical guidance and analytic oversight regarding new accounting pronouncements and application of accounting principles relating to long lived assets and variable interest entities.

• Successfully managed three years of IRS tax return audits resulting in no material tax penalties or deficiencies.

• As lead executive responsible for credit and collections incurred a bad debt write-off percentage of just .2% of annual revenue in 2008/2009 while operating in one of the most distressed sectors of the US economy.

Responsible for managing Finance & Accounting, Human Resources and Information Technology operations (including a staff of 25).

• Established a Columbus, OH based shared service center for processing repetitive transactions (accounts payable, accounts receivable and payroll) which resulted in $250K in annualized cost savings.

• Consolidated North American cash management under one banking umbrella and implemented a cash forecasting system.

• Targeted and negotiated 2 acquisitions totaling $2.5M which were immediately accretive to the North American operating bottom line.

AZTEC SOFTWARE, INC., Boston, MA (2001-2003)

A $20M U.S. subsidiary of an Indian parent providing outsourced software application, testing, maintenance and integration services to companies developing commercial or internal eBusiness applications.

VICE PRESIDENT FINANCE, PLANNING AND ADMINISTRATION

Responsible for the North American accounting, human resource, technology and administrative functions as well as keeping an open line of communications back to the Bangalore-based parent.

• Developed business metrics and financial reporting package for the CEO and senior management team as well as a timetracking system to monitor employee utilization.

• Prepared pricing and profitability analyses for all proposals as well as reviewing the profitability of existing contracts on an ongoing basis.

CERING (formerly KPMG Global Knowledge Exchange), Boston, MA (2000 – 2001)

A proposed "carve-out" of KPMG’s Global Knowledge Exchange Group into a stand-alone entity.

CHIEF FINANCIAL OFFICER

Financial executive assigned to assist KMPG partner in planning and marketing the concern to private equity firms.

• Co-wrote the CERING business plan and created the financial model to support the spin-out and transformation of KPMG’s internal Knowledge Management product to the commercial workplace.

• Worked with Merrill Lynch, our financial advisor, in negotiating a term sheet with a lead investor for presentation to KPMG’s International Board.

USAMobility (formerly ARCH WIRELESS, INC.), Westborough, MA (1996 – 2000)

A billion dollar NASDAQ company providing wireless messaging services to 12M customers nationwide.

VICE PRESIDENT FINANCE and CORPORATE CONTROLLER

Responsible for managing a direct staff of 30 and shared service staff of approximately 50 with oversight over the company’s: annual audit, accounts payable, credit & collections, payroll, inventory, taxation, SEC reporting, debt compliance and budget functions.

• Participated in the Company’s $675M acquisition of MobileMedia, Inc. and $1.6B acquisition of PageNet (making Arch the world’s largest paging company). Primary responsibilities included: due diligence, integration, all required SEC filings and adequately responding to all SEC comments.

• Contributor to two Rule 144A offerings that generated $277M in debt financing to provide the Company increased operating cash flexibility as well as funding for acquisitions.

• Streamlined the monthly closing cycle from 17 to 10 business days by automating the Company’s 80+ monthly general ledger billing downloads and consolidating and automating the Company’s payroll and cost of goods sold downloads.
