Started working after passing Law in 2003 by assisting Smt Pradnya P.Naidu and after passing LLM in 2005, Practiced as an Advocate in High Court and other Lower Courts along with my mother Smt. Pradnya .P. Naidu (Advocate Bombay High Court) from Oct 2005- November 2006 and again from November 2008-to June 2009.

From 1st Dec 2006 – till 31st Oct 2008 worked as Advocate with the Legal Adviser of BCCI (Bombay Chamber Of Commerce & Industry)

From 1st July, 2009 - till 9th March, 2013 worked as Manager - Legal at Just Dial Ltd. Handled and established the Legal Department (reporting to the Deputy CFO). Job Responsibilities Handled Till Date - :

Drafting and vetting of Agreements and Contracts.

Reviewing / Vetting/Negotiating and finalizing contracts(Indian and International), Non disclosure and confidentiality agreements, service-level agreements and vendor contracts.

Advising in house departments on various IPR related issues of the Company.

Registration, protection and prevention of unauthorized use of trademarks copyrights etc. Advising on the risks involved in contracts to be entered into. Successfully Handled various Civil, Criminal, Consumer Cases, Customs, Banking Cases, IPR, NCLT Cases PAN India:

Handled many consumer cases, wherein ensured a good control and professional relationship with the Advocates whereby made best efforts that we win cases where we find merits in fighting the same and wherein wherever the company was not on stronger footing then made efforts to amicable settle and close such cases .

Handled Bank Matters( Recovery Matters), Sec 138 Criminal Cases, Sensitive Cases wherein false defamation cases, IPR Cases (Copyright and data theft cases), false FIRS had been filed wherein got the matter quashed wherein such cases need to be handled sensitively, cooperating with the Investigating Agencies providing the information asked for as needed by them. However great care and attention to detail is needed as to how much information, what information and finally how the same is provided, to avoid any miscommunication or get into unwanted complications, as handling criminal matters needs to be very tactfully done. Also handled cases against customs authorities, cases filed by consignees of the cargo, Bank Recovery cases etc.

Worked with closely various Law Firms and Senior Counsels in my corporate law career, who were professionally hired for the Civil and Criminal cases.

Last but not the least, protecting the interests of the Company, is my top priority.

Notable Achievement’s in my Career :

Strategically and tactfully handled following cases / Issues at Just Dial Limited,

1.A very sensitive database theft case against a Media Company.

2.Saved a substantial monies for the company, when the company was about to renew a advertisement agreement, thinking that a royalty amount needs to be paid to the actor. Had gone through the earlier contract and found out that, no such amounts need to be paid, as the contract did not have any such binding clause, post expiry of the contract. I was rewarded with a cash price by the CMD of the Company for this achievement. Also based on my performance was given ESOP’s by the organization.

3.Successfully defended back to back false CRIMINAL CASES filed against the MD and the DIRECTORS of the Company. Ensured sensitive handling of such case, when the IPO was about to come up. Also currently handling a similar criminal case in the current organization.

4.Negotiated and bargained for changing various national and international contracts from the perspective wherein we were either service seekers or service providers under various contracts.

5.Had streamlined the legal department’s work at Just Dial Limited and Allcargo Logistics Limited wherein there was no proper record nor track of the cases which were filed by or filed against the company. Also streamlined the unorganized IPR work ie There were no proper records of the Trademarks of the Company, streamlined the same and have put the house in order. Also suggested the management as to the trademarks which would be needed, had a brainstorming discussions with the management and went ahead for filing such trademarks through a trademark attorney.

6.Set up a proper process in place whereby the Lawyers/ Counsels who were defending the cases for the Company, provide timely updates and give proper attention to the company’s cases. It is pertinent to note that for any external lawyer or counsel, a company’s case/ matter would be one amongst the many case’s/ matter’s which is handled by such external lawyer or counsel. Unless the internal department shows such keen interest, follows up with them, timely discusses the strategies, provides the necessary and available details to them, until then such external lawyer / counsel would also not look into the company’s matter with such serious attention.

7.Always maintained an atmosphere and aura among the business team of the company’s that the Legal Team/ Department should be looked upon with utmost seriousness. That the Legal Team/ Department are caution note provider’s and not deal breaker’s.

8.Worked upon and continuously trying my best to understand the business as much possible, which always helps a legal professional to view the legal issues of the company in a more pragmatic and practical manner.

9.Being Legal Professional ensured and tried to bring in as much sensitivity as possible within the different departments of the company, as to the way in legal issues is to be looked upon and handled with.

10.At Bombay Dyeing, in a span of just 8 month’s achieved notable changes whereby had bought to the managements attention the issues in the existing Vendor Agreement’s, Distributor’s Agreement. Initiated the process to revise and create fresh Vendor Agreements, Distributors Agreement. Monitored Compliances pertaining to the Manufacturing process adopted. Also started the process of sensitizing the business team as to the approach and perspective while getting into any contract. Time again educating the business team to understand the contract, the scope, deliverables and then prepare a brief note on the same before any contract is sent to the Legal Department. Started developing the culture in the Business Team to have a Business SPOC who would interact with the Legal Team on a particular contract.

11.At Bombay Dyeing, suo moto and as proactive measure taken the initiative, post approval of the management to streamline the entire Trademark portfolio. Self initiated the process post taking approvals for streamlining the company’s Trademark’s with the help of TM Attorneys. Slowly steadily revamped and created a repository of the Company’s TM’s through the TM Attorney’s. One very important achievement was to save the some very imp trademarks whose renewal period had ended and the restoration period was also about to end. Swiftly initiated the action of saving the marks after back to back discussions and convincing the management about the same.

12.At Bombay Dyeing, also expedited the closure of unwanted case which was having no merit to be continued, hence arrived a mutual settlement between parties and closed the same.

13.At Bombay Dyeing successfully handled the False Criminal Case filed against the then CEO and also the Chairman, whereby discussed and brain stormed about the Strategy in the matter with the Counsels and then accordingly gathered all the evidence and finally was able to get a stay by way of “No Coercive Action” against the CEO and the Chairman until the matter is finally completely heard, argued and disposed off.

14.At Metro Brands Limited (earlier known as Metro Shoes Limited):

(i)Set UP SOP’s for handling Mall (Lease and Leave & License Agreement), High Street Agreements (ie Lease and Leave & License Agreement). Also set up process for handling Business Agreements. Started the process of having weekly meetings with the Business Development Team for expediting the closure of Mall and High Street Agreements. Developed the team to positively approach any agreement and the manner to negotiate important clauses in the contract. Instilled confidence in the Team Members to tactfully discuss with internal and external stakeholders while interacting on any business contract. Groomed the Team as to the manner and mode of finding and collecting facts pertaining to any legal case or contracts etc. Set up SOP’s for handling the Litigation work pertaining to the organization.

(ii)Handled sensitive litigations against the Company. Streamlining of the TRADEMARK repository and suggesting management on the various trademarks to be filed. Handling of various Trademark Infringement Cases and legal notices. Appointing IPR Lawyers who would be able to handle the cases and take it forward as per the Managements requirement. Handling and closure of Consumer Cases and Complaints. Appointing and briefing Senior Counsels, Lawyers PAN INDIA and briefing them. Successfully handled sensitive Trademark Infringement Cases whereby Court Receivers were appointed and successful raids were conducted against the Infringers. Recently got back to back successful raid and seizure Orders in multiple trademark infringement cases from Hon’ble Justice Kathawala of the Bombay High Court.
