SELECTED SIGNIFICANT TRANSACTIONS
Corporate Group Practice
• Acted as part of a team advising Riverstone National Inc. in its merger with Greystar Real Estate
Partners, LLC, leading to the sale of outstanding company shares for a base purchase price of
$94,000,000. Responsibilities included entity formation, filing of merger documents, organization
and management of closing room, and the drafting of key documents to effectuate the merger within a
limited timeframe.
• Acted as part of a team advising Madison International Realty, LLC, on the formation of Madison
International Real Estate Liquidity Fund V, L.P., a $750,000,000 private fund designed to aid Madison
in the acquisition of fractional and/or partial ownership interests in core real estate properties and
portfolios. Responsibilities included document drafting, communicating with investors, and drafting
various side letters and confirmation letters while maintaining individual investor confidentiality.
• Advised, as part of an international team, a U.S. client on the Federal Communications Commission
rules and regulations in relation to direct foreign investment in United States broadcast companies,
for use in reciprocity transaction. Served as the primary research lead on U.S. regulatory aspects of
transaction, and worked with Spanish counsel in advising on the deal.
• Acted as part of a team advising Long Wharf Real Estate Partners IV, LLP, in the formation of a
private fund for purposes of real estate investment. Responsibilities included drafting documents and
being responsible for the organization and delivery of the closing set to the client.
• Advised, as part of a team, RDS Ultra-Deepwater, Ltd., a direct, wholly-owned subsidiary of Rubicon
Drilling Services-Aluguer de Equipamentos Tecnológicos, Unipessoal, Lda. (Zona Franca da
Madeira), on a $270,000,000 tender offer and consent solicitation for holders of its outstanding
11.875% Senior Secured Notes due 2017. Responsibilities included drafting, review, client
communication and the coordination of counsel opinion letters across multiple jurisdictions.
• Acted as part of a team advising on the creation of biotechnology fund. Responsibilities included the
creation and execution of various entity formation documents, and assisting the coordination of
multiple law firm interaction in the negotiations of key points in regards to the management and
operations of the fund.
• Advised, as part of an international team, Scaldis Capital LLC, on a U.S. $12,000,000,000
commercial paper offering and entity restructuring, as well as acted as part of the team that formed
new entities to assist with non-U.S. offerings of commercial paper. Responsibilities included drafting
key documents, the formation of various U.S. entities, the coordination of activities with BNP Paribas
in a variety of jurisdictions, and managing client communications and expectations.
Pro Bono Work
• Pro bono work primarily focused on assisting My Sister's Place, an interactive community dedicated
to assisting the victims of domestic abuse. Primary activities included assisting women with pro se
representation in divorce proceedings, with special focus on the preparation and timely filing of court
documents necessary to achieve expressed goals, as well as conducting client interviews and working
with staff attorneys to facilitate success for clients.
• Volunteered advising international students on U.S. law school life, assisted with the obtainment of
U.S. study materials and bar exam preparation, and was responsible for the creation and organization
of the annual international job fair networking event, now in its fourth year of existence and growing.
