. Contracted to serve as a CFO for Farmers Bank in Nicholasville,

Kentucky. Oversaw the charter application for a new branch at Farmers at

the Brannon Crossing location in Nicholasville.

. Served as a contracted CFO for Louisa Community Bank in Louisa,

Kentucky. Managed financial functions and implemented strategies for the

de novo institution that helped lead to the initial profitability of the

bank.

. Served as a key strategist and worked collaboratively with bank owners

to establish the de novo financial institution. Consulted and provided

direction on all policies and procedures, internal controls, training of

including CFO and Chief Investment Officer. Played a pivotal role in

bank growing from $10 million to $240 million in total assets.

Vice President, Chief Compliance Officer (1995-1997)

. Managed merger of two holding companies, managed bank charter

acquisition, and implemented new systems.

. Led supervision and administration of compliance with federal and state

banking regulations for 10 affiliate banks. Role involved conducting

independent compliance audits; reporting audit findings; interfacing

with regulatory authorities and external audit firms; monitoring

regulatory changes on a continuing basis; and training bank personnel in

numerous areas.

. Skillfully selected and implemented data processing systems for the

bank. Evaluated competing EDP systems and made appropriate selections.

Vice President, Director of Internal Audit (1989-1995)

. Managed the internal audit function for the affiliate banks in a holding

company environment. Designed, implemented, and reviewed the internal

audit program to test the system of internal check and control. Also

planned, budgeted, supervised the audit staff.
