Retail Leasing
Wireless Telecom Company - Retail Store Expansion. Acted as counsel for a wireless telecom company for 12 years. Negotiated telecom retail leases, call centers, office leases, subleases, assignments, lease amendments, lease upgrades, construction agreements and antenna licenses. Performed due diligence on acquired real estate portfolios in connection with mergers and acquisitions. Upgraded leases, acquired and kept by our client, through lease amendments. Disposed redundant acquisitions through subleases, assignments, and terminations to third parties.
Shopping Center - Commercial Lease-up. Leased-up a 2.2 million square foot regional mall, as well as lease transactions throughout its portfolio. Reported directly to the managing partner. Advised principals and management regarding legal and business issues related to leasing strategy.
National Retail Commercial Leasing. Negotiated leases for national chain stores including apparel, educational uses, food court uses, and restaurants.
Fifty Store Retail Chain Expansion. Expanded a small chain from five stores to fifty stores in connection with its regional and national store expansion program, negotiating leases with regional mall operators. Advised principals and management regarding legal and business issues related to the implementation of the expansion. Counseled management on legal issues related to new store concepts, permitted use changes, signage as well as related lease modifications.
Medical Leasing. Negotiated medical office leases for physicians, landlords, developers and operators, including issues specific to medical uses, including disposal of hazardous materials, after hours access, ADA Compliance, Anti Kickback Statute and Stark Laws, use exclusives, death and disability clauses, landlord inspections and related privacy issues and tenant improvements specific to medical uses.
Restaurant Leasing. Negotiated restaurant leases for landlords and tenants, including standalone restaurants, shopping center restaurants and food court uses.
General Leasing Support. Worked closely with owners, partners, brokers and in-house real estate officers in connection with lease negotiations. Reviewed letters of intent and Requests for Proposals. Advised clients regarding operational issues including lease administration, construction disputes, CAM and percentage rent audits, construction, procurement, and service contracts, and loan documentation.
Purchasing, Selling, Financing and Title Review
Purchasing and Selling. Represented clients in the purchase, sale and financing of commercial real estate, as well as negotiated loan documentation on behalf of landlords and tenants related to real estate and leasehold financing.
Financing. Reviewed and negotiated documents with various lenders on behalf of retail tenants related to real estate financing, including mortgages, promissory notes, guaranties, subordination, non-disturbance and attornment agreements, estoppel certificates and landlord waivers.
Title Review. Advised tenants, landlords, owners, buyers developers and operators on title matters, including title analysis, zoning, reciprocal easement agreements, operating agreements, ground leases, access and condominium documentation.
