Ethicus is a management company originally formed to manage a long-term acute care
hospital that was
in financial distress. We were hired by the physician owners of the hospital and approved
by the largest
secured creditor. Our duties were to take control of the operational and financial
management of the
hospital. The expectation was a short-term contract with the intent of filing Chapter 11
within three
months. We were able to turn operations around and delay filing Chapter 11 until December
2010. We
worked with a number of interested parties to acquire the facility for about a year. The
operations were
sold September 30 2011 and we continue to be involved in the distribution of funds to
creditors.
Aug 2008-Present Various Companies Consultant
Performing management advisory services to start-ups, established, public, and private
companies,
including due diligence for mergers and acquisition, financial review and design, systems
review and
design, selling part of company to management, purchasing company by management from
owner,
advising of corporate entity structure and corporate documentation. Also, providing
introduction to
valuation experts, bankers, investors, insurance representatives, and manufacturers

long-term acute care hospitals. Hired initially as consultant to provide management and
financial
expertise. Assisted in business development; construction management; contract
negotiations for
equipment leases, equipment purchases, and services; and financing negotiations for
working capital,
operating and capital leases; formation and sale of partnerships/LLCs with local
physicians.
Government passed legislation requiring three-year moratorium on long term acute care
hospitals, which
eliminated two proposed projects that were set to break ground and threatened to shut
down third
operating facility.

Stylesco is a family partnership that provides oversight and management to investment
portfolio
companies. Hired to salvage real estate holding, secure project with MD Anderson, and
review potential
investments. Sold real estate development portfolio company for $15 million and assisted
in closing
$130+ million transaction for MD Anderson Cancer Center Proton Therapy Center. Provided
daily
construction/project management for Proton Therapy Center, which included design,
equipment building
interface, furniture/medical equipment purchasing and coordination. Reviewed and
recommended
potential investments including New York plays, real estate, healthcare, land title, and
sports.
Sep 2000-July 2001TradeCast Investments, LtdChief Financial Officer
TradeCast was a developer of electronic day trading software for individuals, hedge
funds, and day
trading boutiques. Hired to market and sell the company within one year. Established
methods to
capture daily trade reporting for customer concentration, provided mentoring to young
managers, and
established human resource department. Merged TradeCast with Ameritrade Holding Corp.
(NASDAQ-

Frontera was retailer of home furnishings. Hired to oversee operations, raise additional
funding to allow
advertising and expansion of Internet business. Focused business on core products and
eliminated non -
profitable segments. As a result of dot com bubble bursting recommended survival plan to
board of
directors including significant reduction in force, including my position.

Physix was a developer of electronic patient medical records software. Hired by Chairman
