closing, Taxes, Audit, Cash Management, Billing/Invoicing, Information

Technology, Payroll, Accounts Payable, Financial Statement preparation,

o Implemented and rolled out a new Job Cost and General Ledger system in

two months.

(financially distressed company) 2007 - 2008

Reported to the CEO, Board of Directors and Private Equity groups with full

financial, accounting management and reporting responsibility. Functional

responsibilities included Audit, Cash Management/Treasury, Accounting,

Accounts Payable, Financial Reporting, Tax, Payroll, Billing, Planning &

Analysis, Legal, Facilities and Insurance. Managed all of the financial

functions for a highly leveraged, financially distressed company. Assisted

in the preparation of a Confidential Information Memorandum (CIM) document

to market the company for sale. Company was eventually taken into

foreclosure by our senior lender/private equity group. Chose to leave the

company after the legal foreclosure process was completed and the private

equity group brought in management consultants to determine fate of

organization.

o Designed operational restructuring plans to take the company from a

breakeven EBITDA to $30M.

o Negotiated significant savings on self-funded programs for all types of

insurance coverage.

o Managed a distressed debt company through reorganization and avoided

bankruptcy.

o Managed the company through an Article 9 UCC Foreclosure sale process.

o Participated in a sales process to market the company to investors and

discounted cash flow model to establish Net Present Value (NPV) and

Internal Rate of Return (IRR) compared to corporate hurdle rates. Met with

potential sellers to negotiate Letter of Intent, Asset Purchase Agreement,

Definitive Agreement and Final Purchase Price agreements and documentation.

Managed and conducted due diligence of potential targets, established

closing schedules and integration plans. Coordinated the efforts of Legal,

Human Resources, Information Technology, Operations, Environmental,

Internal Audit and Finance resources to assist in the due diligence,

transition and integration after closing. Developed boiler plate project

plans, tasks and timelines to manage all acquisitions through decision-

making process and integration. I also managed the pipeline of potential

acquisition targets. Developed checklists for departments and overall deal

tracking. Deals included cash, stock and 1031 exchange as options.

Company slowed the M&A activities, which is when I left the company. They

were subsequently purchased by Agrium.

Held progressive finance and management positions within the company

during my tenure. Responsibilities included mergers and acquisitions, deal
