especially structured and asset finance transactions. Provide
corporate, finance and basic bankruptcy advice (preferential and
fraudulent transfer issues) on complex tax structured transactions,
including with respect to unwinds and restructurings, and loan
facilities. Negotiate ISDA-documented CDS and TRS related to
structured vehicles. Provide U.S. finance and securities advice for
several aircraft financings (Ex-Im Bank guaranteed) and refinancings
for major international air carriers, including 3(a)(2) capital markets
issuance. Project finance exposure includes a $30 million refinancing
of subordinated debt for a global energy producer. As issuer's
counsel, sole associate in the private placement (NPA based on ACIC
Form X-2) of real estate backed debt securities of a Japanese pachinko
parlor chain into the U.S. market. Signficant experience with CDOs
issued pursuant to Rule 144A/Reg S/Section 3c-7, representing both
issuers and underwriters, and significant experience in restructuring
of CDOs and SIVs. Draft and negotiate all transactional documentation,
including indentures, offering circulars, purchase agreements
(including ACIC model form NPAs), loan/credit agreements and preference
share agreements. Provide securities law and corporate support for
deals around the worldwide Freshfields network. Possess expertise in
practical and theoretical securities law in both domestic and cross-
border transactions; experienced in directing both documentary and
management due diligence.
London Office, U.S. Corporate Group (October 2002 - June 2004)
Provided U.S. law support in multi-jurisdictional transactions,
drafting and reviewing U.S. corporate and underwriting
documents, offering circulars and other transactional documents.
Assisted on numerous private placements and Rule 144A/Reg S
transactions, including high-yield and convertible debt offerings,
straight debt private placements (including placements based on ACIC
model form NPAs), block trades and IPOs. Served as the sole U.S.
associate on a sovereign-debt linked bond issuance. Contributed to two
securitization transactions and one covered bond deal for a major UK
mortgage lender and a leading UK building society issued pursuant to
Rule 144A/Reg S and investment company act exemptions. Extensively
involved in HP/Compaq world-wide integration after the initial merger,
personally liaising with client and counsel in over a dozen
jurisdictions; facilitated the tax-efficient transfer of assets and
subsidiaries worth billions of dollars.
