Commercial Leasing, LLC (captive finance and equipment leasing arm) in both transactional and litigation
matters.
• Exceeded company objective of multi-million dollar revenue recovery every year and successfully
protected company assets in defense litigation of complex commercial and contract matters.
• Advised and counseled business partners on transactions and contract matters, including compliance
with applicable laws and regulations, to effectuate closing of multi-million dollar recurring revenue deals.
• Developed legal strategies to achieve business objectives, including expanding U.S.A. business model
to Europe and the Caribbean.
• Negotiated and drafted business transaction documents, including: software licensing, maintenance
and support, consulting and other client agreements, NDA, Confidentiality Agreements/protective orders,
marketing materials, alliance agreements, captive emulation agreement, vendor contracts, settlement

• Retained and partnered with outside counsel throughout the USA, Canada and Puerto Rico/Caribbean
for both transactional and litigation matters (covering all aspects of drafting of pleadings, mediation and/or
settlement memorandum, discovery and trial outlines). Traveled and attended business meetings to resolve
disputes and/or litigation related matters and favorably resolved both pro-active and defense litigation in
federal and state courts resulting in multi-million dollar recovery/revenue.
• Developed Vision and Mission Statements for Local Diversity Council (LDC) and implemented programs
to promote the LDC’s objectives.
• Conducted educational seminars and training for Associates resulting in improved business outcomes
by reducing A/R and streamlining litigation protocol as well as increasing delinquent account recoveries.

• General Counsel of independent state student financial aid guaranty agency with over $1.2B in financial
aid, reporting directly to the Executive Director on all legal and governmental matters.
• Directed compliance with all applicable New Jersey and Federal laws, regulations and rules (including
NJCLASS, TAG, FFELP, FACTA, FCRA, FDCPA, GLB, Truth-in-Lending, etc.) applicable to student aid.
• Retained and managed outside counsel and monitored/assisted in all agency litigation matters resulting
in multi-million recovery of delinquent accounts.
• Negotiated, drafted, reviewed and assisted with all aspects of contracts, including drafting loan
documents, vendor agreements, shared services agreements, RFP bidding process and contract
management.
• Advised on legal/compliance aspects of new product development, marketing of the same and in other
agency business development.
• Developed and implemented agency policy. Successfully issued multi-million dollar Bond to fund
NJCLASS. Prepared legal/compliance aspect of Investor Handbook for state 529 Plan (NJBEST).
• Conduction investigations and issued reports as EEO/AA Officer and provided legal analysis, opinion
and strategy on all employment matters (ADA, FMLA, NJLAD, Title VII, N.J. Equal Pay Act, etc.)
• Managed collective bargaining contract including grievances, discipline and related matters.
• Served as OPRA custodian, Ethics Liaison Officer, Legislative Liaison and Board Parliamentarian.
• Served as Administrative Practice Officer and processed all agency regulations.

• Directed both the Office of Legal and Regulatory Liaisons and the Office of Legislative
Liaisons (2 Deputy Directors, 12 professional and 4 paraprofessional staff).
• Managed all DHS legal affairs, including compliance, contract negotiations, MOU,
liability/risk management, employment related matters, IP/trademark issues, class action
litigation, tort, civil litigation, etc.
• Mediated and negotiated a settlement agreement of Children’s Rights lawsuit against
DYFS.
• Provided legal analysis for policy initiative and developed, coordinated, reviewed,
approved and promulgated all official internal policies and administrative procedures as
well as all agency regulations.
• Tracked, analyzed and advised on all applicable federal and state legislation,
regulations and policy issues.
