Dear Michael,

It is with great pleasure I write to you confirming PCC Structurals Inc.’s (“PCC Structurals” or the

“Company”) offer of employment as a Wax Maker reporting to Samuel Benson. Your employment start date will be a mutually agreed upon date.

We believe that we can challenge your current skills while offering you the opportunity to continue to grow professionally. We value results and believe that employees should share in our overall success and be recognized for their contributions. Provided you sign this offer letter prior to your start date, the company provides you with the employment offer as stated herein. Compensation

Your hourly base wage will be at a Grade 8 Step 1 at $19.95. You will be required to record hours worked and will be paid overtime per PCC Policies #402 - Timekeeping and #581 - Overtime. In addition to your hourly pay, you will be eligible to participate in the Performance Pay Plan (“QCB”) bonus program at the “1X” level, subject to the terms and conditions of the QCB. This program is based upon operational results and is contingent upon LPC attaining its goals and your continued employment. The company maintains the absolute discretion to modify any component of your direct cash compensation as stated herein, and these payments are subject to applicable taxes and withholdings. Benefits

In addition to your direct cash compensation, PCC Structurals also offers a comprehensive employee benefits program, as provided and described more fully in the applicable plan or program documents. The company maintains the absolute discretion to modify any and all benefit plans and programs. These programs currently include:

• You will be eligible for two (2) weeks of vacation per calendar year, in accordance with policy. Vacation accrues from your first day of employment. Our policy allows vacation to be taken as accrued. You will also receive two (2) floating holidays in addition to the eight (8) regular fixed holidays per calendar year.

• Your medical, dental, life, A&D, short and long term disability insurance benefits will begin on the first of the month following your hire date.

• Effective on your date of hire, you will be eligible to participate in Precision Castparts Corp.’s 401 (k) Plan. Currently the company matches contributions up to a 6% maximum.

• PCC Structurals will provide a non-elective employer 401(k) contribution of 3% of 401(k) eligible earnings to employees. This 3% will be in addition to Precision Castparts Corp’s 401(k) matching contribution of 3%, for a maximum employer contribution of 6%.

• You are eligible to participate in the health club reimbursement program on the first day of the month following 30 calendar days of employment. These amounts are subject to applicable withholdings and taxes.

Employment Contingencies

In addition to signing this offer letter, your offer of employment is subject to the following requirements. Failure to meet any of these eligibility requirements may rescind this offer.

• PCC will conduct a background check upon acceptance of this offer. You will need to take a drug screening test the week before starting your employment.

• You must provide proof of appropriate citizenship or work visa status, as required under the Immigration Reform and Control Act (“IRCA”). In accepting this offer, you are verifying that you are a U.S. citizen or a national of the U.S., or a lawful permanent resident alien. If applicable, you also must be eligible and be certified for any necessary export control licenses and /or authorizations under the International Traffic in Arms Regulation (“ITAR”), Export Administration Regulations, and any related laws and legislation. Failure to meet these eligibility requirements either as employment eligible and/or export-control compliant may rescind this offer or ultimately terminate your employment.

• This offer is contingent on your execution of a confidentiality and non-solicitation agreement which is enclosed for your review and signature.

PCC’s Dispute Resolution Policy

As part of the Company’s practice to fully engage the workforce in efficient, mutual and objective dispute resolution and as part of the onboarding process, you will be asked to review and accept the terms and conditions of a Dispute Resolution Policy. This Policy is an extension of the Company’s open door philosophy and both you and the Company will benefit from participation in this program. You will be provided additional documentation which outlines the terms and conditions of this Policy. Please note that, while we expect this will be a successful and mutually rewarding employment relationship, employment with PCC Structurals is “at will” and may be terminated at any time for any reason either you or the Company.
