Co-Founder, Chief Legal Officer and founding board member of a public biotherapeutic start-up for a lipid-modifying drug outlicensed from Pfizer Inc. Pfizer Inc – Corporate Counsel and Michigan Legal Site Head – Ann Arbor, Michigan June 2004 to June 2008

Acted as the site attorney for the Michigan laboratories, which entailed being responsible for all legal issues that arose at the Ann Arbor and Kalamazoo sites. Also, oversaw the drafting and negotiating of agreements relating to the in-licensing of early stage compounds, new technologies and applications that supported Pfizer’s research and development activities. Drafted and negotiated agreements in support of research activities including agreements with universities and the federal government. Extensive federal government contracting experience with both civilian and defense agencies. Served as the development counsel for the Pain therapeutic area which included overseeing all legal issues arising out of the research and development activities in the Pain therapeutic area. Provided legal support to the procurement group and the contracts and outsourcing group on a wide range of matters. Also, worked on a wide range of regulatory issues from discovery all the way through Phase IV. Provided internal training to colleagues on a number of topics ranging from fraud and abuse to the Foreign Corrupt Practices Act.

Drafted and negotiated all agreements (including agreements that involved the licensing of intellectual property or the delineating of intellectual property between parties) in support of the company’s manufacturing, clinical and pre-clinical research and development activities. Worked with the human resources department on a wide range of employment related matters. Advised business units regarding copyright and trademark protections. Provided guidance and strategic advice on partnering and distribution arrangements to increase the available markets for MEDSTAT’s intellectual property assets. Advised business units on the pending new HIPAA regulations.
