PROFESSIONAL EXPERIENCE:

General Counsel/ V.P. Compliance for Ocean Avenue, LLC/ JM Ocean Avenue, LLC/ HopRocket, LLC. Responsible for all legal oversight of the companies, including oversight of international registrations, product label compliance, distributor relations, policies and procedures, corporate governance, contract negotiation, review and drafting, intellectual property registration and protection, compliance oversight, litigation and regulatory issues for 26 countries. Transactions - including Merger and Acquisition. May 2013 to January 2016.

Chief Operating Officer/ Vice President of Strategy and Culture for Nuriche, LLC. Responsible for oversight of corporate strategy involving company placement in the market, as well as development and cohesion of a corporate workplace culture and enjoyable and productive distributor culture. Oversaw all functions of the company, including the company’s manufacturing facility and manufacturing employees. Responsible for overseeing the activities of two non-profit organizations, My Firm Foundation and The Tenth Solution, and the initiatives involving Nuriche and its distributors in humanitarian efforts and micro-business development. December 2008 to March 2011.

General Counsel for GoYin, LLC/ Genesis PURE, LLC. Responsible for all legal oversight of the company, including oversight of human resources, distributor relations, contract negotiation and drafting, intellectual property registration and protection, compliance oversight, litigation and regulatory issues, including product labeling and contract manufacturing. Managed international expansion projects. September 2006 to December 2008.

Director of Compliance and Associate General Counsel for XanGo, LLC Responsibilities included oversight of regulatory matters, drafting and enforcement of Policies and Procedures for independent distributors, approval of advertising and investigation of claims of independent distributors. Organized and oversaw a Compliance Department with over 40 employees. Supervised litigation for the company. December 2002 to August 2006.

Consultant. Assisted new start-up companies, both traditional and network marketing, in evaluating marketing plans, policies and procedures, compensation plans, contract preparation and review, establishing human resource and insurance issues, as well as general overview of intellectual property, compliance and regulatory issues.

August 2006 to present.

Sole Legal Practitioner. Practiced in California from 1984 to 1998; practiced in Utah from 1993 through present. Practice included trial work, transactional work, corporate establishment, litigation, adoptions, estate planning, criminal defense, civil plaintiff and defense work, and juvenile court representation. Chairman of Board of Trustees for Hugs International, TLC, Inc., a charitable organization dedicated to building orphanage-schools in under-developed third world countries. 2001-2006.
