• To have clear understanding of the CA’65 and the company’s M&A and to know the statutory requirements and advise on the provisions contained therein

• To carry out the functions of the Chief Administration Officer of the company.

• To ensure that the statutory registers required to be kept under the CA’65 are properly kept and updated within the statutory periods.

• To ensure that all returns and documents required to be lodged with the CCM are properly prepared and lodged within the deadlines.

• To issue appropriate notices, prepare the agenda and collating proxies.

• To attend and record the proceedings of company meetings to advise and contribute ideas and opinions prior and during the meetings.

• To prepare the draft minutes of such meetings.

• To be aware of meeting procedures and to advice the chairman if the need arises.

• To supervise the movement of the company’s share capital generally, including preparation of allotment letters, issue of share certificates, handling of share transfers, transmission and forfeiture of shares

• To ensure that the company’s books of accounts are properly kept in accordance with the CA’65 and that the annual returns, audited accounts and reports are prepared in the form and within the statutory deadlines.
