The National Handicapped Finance and Development Corporation

(NHFDC) has been set up by the Ministry of Social Justice & Empowerment, Government of India on 24th January 1997. The Company is registered under Section 25 of the Companies Act, 1956 as a Company not for profit. It is wholly owned by The Government of India and has an authorized share capital of Rs. 400 crores (Rupees Four Hundred Crores). The company is managed by Board of Directors nominated by Government of India.

WORK EXPOSURE

Compliances under PSUs specific Laws

Drafting of Notice, Agenda for Board and Committee Meetings of the Company;

Preparation of Checklist for Compliances under DPE guidelines applicable to different work/activities (secretarial nature) in the Corporation;

Drafting of Minutes of Board Meetings and coordination with chairman for discussion and authentication of minutes.

Drafting letters to the Directors, Ministry, SCA’s etc. and preparation of Notings for Inter-Departmental workings;

Preparation of Notes and Reports for action taken points at the Board Meeting and coordination with concerned departments for implementation;

Review of Loan Agreements, Block Government Guarantee agreements with respective States & Legal Documents as referred for opinion;

Drafting of MOU document and RFMS MoU and laisoning with Department of Public Enterprises and Ministry of Social Justice and Empowerment;

Drafting of RTI Replies, Coordinating with various departments of the Corporation for obtaining information related to RTI applications, or dealing (documentary research) with appeals if any to be referred in CIC

Assisted in Renewal Audit of QMS under IS/ISO 9001:2008 i.e., BIS Audit of the Company such as preparing a report on Customer feedback and physical verification of the Company and other documents related to the Audit.

Drafting of Board’s Report and various annexures thereto;

Preparation of Annual Return, Extract of Annual Return in MGT-9, Annual Report, Review Statements and Corporate Governance (Quarterly and Annual) Reports;

Drafting of AGM notice, attendance sheets & minutes;

Work related to Issue and allotment of shares, Issue of Original Share Certificates, Stamping of Certificates, affixing common seal of the Corporation on the Certificates etc.

Assisted the team on matters like appointment of Statutory and internal Auditors of the Company; shifting of books of accounts from registered office to Corporate office,

Internal and External Coordination as and when required for ensuring compliance;

Assisted in work related Corporate Social Responsibility, its applicability, raising issues related to it with Ministry of Corporate Affairs etc. Annual Return, Balance Sheets & Secretarial Standards

Assisted in Preparation of extract of Annual return in MGT-9, filing of Annual return in form MGT-7 and Annual Accounts in form AOC-4 on voluntary basis;

Preparation of checklist on compliances under Secretarial Standard-1

(Board Meetings) & Secretarial Standards-2 (General Body Meetings) and checking its applicability in our Corporation.

Statutory Audit of the Corporation

Assisted in the Statutory Audit of the Corporation like Proof- Reading of Financial Results, Matching Vouchers for the respective entries in case of errors, providing Statutory Auditor with applicability of any Companies

(Auditor Report’s Order) 2015 to our Corporation,
