In-House Counsel and Risk Management Officer
Reported directly to the CFO. Served as member of the corporate Executive
Council. Provided legal advice and direction to President/CEO and other
senior leaders. Responsible for the management and resolution of all legal
issues (including labor and employment laws, contracts, real estate
transactions as well as prevention and management of risk and liability).
Managed Title VII and other labor and employment issues involving
allegations of discrimination and/or wrongful discharge. Developed, drafted
and implemented policies and procedures that ensure compliance with labor
and employment laws (including ADA Amendments Act, ADEA, FMLA, GINA, USERRA
and HIPAA). Prepared Medicaid compliance plans.
Developed strategies that effectively resolve issues and drafts policies
for future issues management. Assessed risk in all areas of potential
exposure (including policy compliance, Medicaid billing, consumer/patient
care and employment practices).
Served as interim HR Director for 4-month period strengthening supervision
and staff mentoring particularly with regard to on-boarding, construing
criminal records documents and working with hiring managers to review and

CONTRIBUTIONS
. Won every case (25-plus) before the EEOC, the Pennsylvania Human
Relations Commission, and the Philadelphia Commission on Human
Relations, resulting in savings of $5,000-$10,000 per case for
administrative agency legal work while preventing very costly future
potential litigation.
. Drafted a proposal for the State of Delaware that retained the state
payer relationship, maintained a key agency presence in the state,
resulting in a new $4,000,000 contract.
. With 800 employees (full and part-time plus contractors), reduced
discrimination claims from six per year to zero by investigating and
successfully resolving employee grievances, personnel issues, and staff
performance problems prior to discharge, thereby avoiding litigation
and saving significant dollars.
. Trained supervisors to document performance issues before termination,
avoiding intangible expenses of discrimination claims and negative
visibility.
. Managed outside counsel cost effectively by negotiating flat fees
instead of billable hour charges and initiated clear identification of
what could be done in-house, thus reducing outside legal expense.
. Drafted and negotiated numerous vendor contracts, real estate leases,
and contracts for independent contractors. Through skillful contract
review protected agency interests and saved money by doing the work in-
house rather than utilizing outside counsel.
. Served as Acting Director of Human Resources during a transition of
this position and provided supervision to the HR staff in areas such as
onboarding of employees, and reviewed records and documents when
considering potential employees for hire.
. Designed and implemented annual employee benefits plans for health and
dental insurance and other ancillary benefits, resulting in cost
savings by keeping premium increases to a minimum.
