BAYCORP RESOURCES, LLC

McDonald co-founded BayCorp Resources, LLC, a $100 MM independent oil and gas acquisition and development company, merging assets of equity partner BayCorp Holdings, LLC and McDonald & Johnson Resources, LLC.

Expanding on the early success in the McFaddin Oil field, BayCorp drilled an additional 9 oil wells, developing an average of 35 MBO of reserves per well, with a PV (10) of $1.6 MM per well. Sold East Texas Haynesville acreage for a net profit of $ 10 MM, development of 24 James lime horizontal well, gleaning 60 BCF of reserves from a $50 MM investment. BayCorp also acquired 20,000 acres on the edge of the Williston Basin in Montana, and 5 Texas state water prospects over 5,000 acres.

One of the prospects discovered an estimated 10 BCF in November of 2010, with the remaining prospects yet to be drilled.

One year after acquisition, increased oil production 4 fold, and developed 7 times the original proven oil reserves. Orion sold the field for $ 28 MM, 3 times the original capital investment, providing a 237 % Rate of Return for equity investors.

Asset Manager - Gulf of Mexico

Hired from Amoco to turn around the poorly performing oil and gas assets in the Central Gulf of Mexico shelf. Responsible for the full P & L management of the $ 200 MM a year business. This included: strategic planning, financial forecasting, asset M&A, partnership development and stewardship, new oil and gas field development, production optimization, governmental and regulatory coordination and compliance, health, environment and safety, exploration support, and legal issues. Responsible for the oversight, training, and development of a 125 member workforce consisting of management, technical professional, and field operating staff. Operations returned over $ 600 MM in cash flow to Unocal. Trained the staff to recognize the key drivers of the business and brought a new awareness of each individual's direct contribution to the bottom line, via implementation of online P & L Reviewed the existing operation and quickly developed a strategic turnaround plan, with strategies for near, mid, and long term tactics, setting milestones for improvement Finding that overhead costs were too high, and staff quality too low, revamped the technical teams and reduced overhead by 33 %

In the first year, exceeded production goals by 10%, generated $ 93 MM in cash flow, and replaced 100% of the year's production with new oil and gas reserves.

Other successes at Unocal included setting an all time production record in the second oldest field in the Gulf of Mexico.

First year after optimization, the field generated $ 138 MM in cash flow, reaching total payout a month after completion.

The all time production record and the process and people that made it happen, became the cover article for the May 2000 issue of Offshore Engineer magazine.

Responsible for strategic planning and coordination of Amoco's developments in the deepwater Gulf of Mexico. The deepwater development program was in the beginning stages of Amoco's entry into the newly emerging basin in the Gulf of Mexico at water depths greater than 1000 feet. Develop strategic plans that included competitor analysis, production, timing, funding, and future manpower forecasts.

At this time, the deep waters of the Gulf of Mexico held great promise for significant oil and gas production, but were burdened with large capital expenditure commitments and serious ground breaking technology challenges. Responsibilities included the oversight and coordination of Amoco's $ 8 MM deep water technology development budget and he was the Amoco representative in the multi-company technology consortium, DEEPSTAR. 06/1995 to 01/1997

AMOCO EXPLORATION AND PRODUCTION

Asset Manager - Western Oklahoma

Responsible for exploitation and production optimization activity in the western half of Oklahoma. Directed a 20 member organization of technical professionals, quickly turned a neglected and under performing operation into a leader in Amoco's domestic portfolio. Applying under-utilized 3D seismic techniques to the Cement field, the team made nine new well discoveries in a year.

Prior results in this prolific, but highly geologically complex field had been disappointing, using 3D seismic technology, the team discovered the largest well in Oklahoma that year, producing 12 MMCFD, and discovering 20 BCF of new reserves.

As internal funding for these prospects lessened, created an external funding plan that doubled Amoco's rate of return, reduced well costs, and freed over $ 4 MM in internal capital. Because, drilling and fracturing were the main drivers of the well costs, negotiated with drilling and service contractors to actually take a direct interest in the development of the wells. This resulted in Amoco only paying 20% of the well costs and retaining a 50% interest in the completed projects. Revamped 40 year old East Velma Middle Block field in the Ardmore Basin of southern Oklahoma. The program resulted in increasing production by 13 MMCFD and 675 BOPD, yielding yearly revenue increases of $ 5 MM, by performing 27 successful well work-overs 01/1991 to 05/1995

AMOCO PRODUCTION COMPANY

Operations Engineering Manager - Gulf of Mexico

Responsible for all new well completions, production optimization, and well work over activity. Direct duties included formulation and oversight of a $ 20 MM yearly budget and the management of a 12 member engineering staff

Highlights of accomplishments include the formulation and negotiation of "pay for performance" partnerships with offshore service contractors.

During a period of reduced internal capital budgets, staff cutbacks, and unmet production goals, formed a partnership with a large well service contractor to evaluate well stimulation candidates and administer approved projects.

This partnership freed internal staff engineering and field supervisory manpower. The successful program increased Amoco's natural gas production by 30 MMCFD within six months and led to other vendor partnerships structured along similar lines. 01/1982 to 01/1990
