Rocket Fuel Inc. Redwood Shores, CA 2012 – 2013

The leading provider for advertising agencies and the world’s leading brands, providing artificial intelligence advertising solutions for

display, mobile, video and social initiatives. During tenure, company revenues grew from ~$45M to ~$240M. One of the year’s most

successful IPO’s in September, 2013.

Vice President, Finance / Internal Audit

Responsible for accounting & finance, including Corporate Accounting, FP&A, International Accounting and Revenue

Accounting groups. Led multiple projects to put infrastructure in place required to become a public company (IPO).

• Completed 3 years of

external audits and 8 quarterly reviews in a little more than 1 year.

• Implemented 3 financial

systems, including ERP (NetSuite), FP&A application and an internal revenue system.

Venture Capital-backed company with $25M of revenue. Acquired by Critical Path, a European-based technology company, in

November, 2010 for twice the value of the original investment.

Sr. Vice President, Chief Financial Officer

Hired by the Chief Executive Officer and Board of Directors to analyze the company’s financial condition, assess alternative

financing options, and drove financial elements of the corporate development package with the Company’s investment bank.

Worked closely with the Chief Executive Officer & investment bankers to prepare and present the Company to prospective

buyers, concluding in a successful investor exit. Responsibilities and projects include:

• Managed Finance,

Human Resources, Information Technology, Operations and Facilities.

• Evaluated & recommended financial alternatives for the Company to the

Board of Directors.

• Prepared & presented financial material to potential buyers of the Company.

(SaaS). Revenues were $125M. Public company, acquired in 2009 by a Vista Partners, a private equity firm.

Responsible for worldwide accounting, revenue recognition, financial systems, SEC reporting, order management, credit &

collections, taxes, treasury and maintenance renewal bookings. Managed ~25 employees. Dotted line responsibility for

EMEA and India Finance organizations and Internal Audit. Responsible for the company’s SOX program, Audit Committee

coordination and relationship with the company’s external auditors (BDO Seidman, LLP).

• Decreased SOX internal testing error rate from 7% in 2007 to <3% in 2008.

• Re-engineered the opportunity-to-cash process and re-organizing Finance function accordingly, resulting in

improved customer satisfaction, increased productivity and improved internal controls.

Macrovision Corp. Santa Clara, CA 2006 – 2007

Worldwide provider of software lifecycle management solutions, which enable customers to protect, enhance, and distribute

software or digital content through digital distribution channels and destination devices. Publicly held leader of anti-piracy and

content protection technologies. Revenues were ~$250M.

Vice President, Chief Accounting Officer

Responsible for worldwide accounting, revenue recognition, financial systems, SEC reporting, stock administration,

procurement, and facilities. Managed a worldwide group of 40-45 employees. Excellent relationship with the company’s

external auditors. Presented at all Audit Committee meetings.

Openwave Systems Inc. Redwood City, CA 2003 – 2005

Worldwide provider of software products and services for the communications industry, including mobile & wireline service

providers and handset manufacturers. Revenues grew from ~$250M in 2003 to ~$400M in 2005. Resigned due to serious family

medical issue..

Corporate Controller

Responsible for worldwide accounting, financial systems, SEC reporting, credit & collections, commissions, and

purchasing. Managed a group of ~35-40 employees. Owner of the worldwide external audit relationship. Active

participant in all Audit Committee meetings. Projects included:

• Implemented numerous process improvements and improving internal controls in order to ensure compliance with

Sarbanes-Oxley / SEC regulations. Efforts helped Openwave pass their initial Sarbanes-Oxley 404 audit.

• Re-engineered processes which were considered a “reportable condition” (material internal control weakness) by

the company’s external auditors for two consecutive quarters prior to my arrival.

Vitria Technology, Inc. Sunnyvale, CA 2002 – 2003

International provider of business process integration software and service. Revenues were ~$75M.

Responsible for worldwide accounting and finance, software revenue recognition, SEC reporting, order management, tax &

treasury, financial planning & analysis, payroll, stock administration, credit & collections, facilities, and purchasing.

Remedy Corporation Mountain View, CA 1998 – 2001

Worldwide provider of service management software and services, which enable customers to easily automate internal and external

processes. Annual revenues grew from ~$175M in 1998 to over $300M in 2001. Company was acquired in late 2001 by Peregrine

Systems for $1B.

Director, Finance

Responsible for worldwide accounting, financial reporting, financial systems, and procurement. Managed a department of

35-40 domestic employees and dotted line responsibility for international accounting and finance. Projects included:

• Led worldwide commission system selection and implementation team. Domestic implementation recognized as

one of the quickest and most successful vendor implementations.

• No material proposed adjustments to company financial statements or management letter comments during tenure.

Collagen Corporation Palo Alto, CA 1994 – 1998

Developed, marketed and sold bio-medical products to dermatologists and plastic surgeons in North America and Europe. Annual

revenues grew from ~$60M to $85M. Company was acquired by Inamed Corp., which was acquired by Allergan Inc.

Managed worldwide accounting and finance. Responsible for relationship with external auditors. Promoted from

Controller to Director, Finance in 1996. Managed a staff of ~15 employees. Projects included:

Finance. Worked closely with European Country General Managers and Country Finance Controllers.

• Leader of the financial systems selection and implementation team for a new ERP and budget/planning systems,
