negotiations of several Acquisitions that fashioned the company.

• Changed the financial model from a perpetual license model to an annuity model including term licensing and

ASP operations which improved consistent predicable revenue streams from 15% to 75%

• Built a financial function in the US from a zero base and transferred the entire function from the UK, which

included a two year audit and an accounting change from UK to US GAAP.

• Implemented a Business intelligence system to convert an Excel based system to a more robust reporting,

analysis, and modeling function that would accommodate acquisitions easily.

SS&C Technologies, Inc. - SS&C is a leading provider of financial software solutions, services, and expertise to asset

managers worldwide to manage, in aggregate, more than $3 trillion in assets We conduct business under two methods

of delivery, the traditional license sale and installation or ASP/FSP.

Recruited by the CEO to reorganize the financial operations which were in a triage condition. I t took 30 days to close

the books, the company had 120 days in receivables, the foreign operations were not set up as subsidiaries, and there

were three acquisitions that were not assimilated into the organization.

• Rebuilt the entire staff including foreign operations. In 9 months we implemented new systems, reduced

receivables to 55 days, set up subsidiary ledgers for the foreign operations, mainstreamed the acquired

companies and closed the books in 5 days, while reducing the staff by 30%.

• Developed and implemented a Strategic and Operating planning process, including a benchmarking study

which led to my direct management of a program that increased the margins in the consulting business by 10

Technology (IT), Product Distribution, and Facilities) and responsibility for the Hedge and Family Office

Business Unit (Consulting, Client Support, R&D, and Sales).

EXECUTONE Information Systems, Inc. - designs, manufactures, and is a leading distributor of Customer Premise

Equipment and Network Services to solve customers’ telecommunication needs. Executone services these markets

through its Direct Sales and Independent Franchised Distribution networks.

Recruited as part of the growth strategy in Revenue from $800 thousand in 1983 to $300 million in 1995. Led the

project to acquire and assimilate our largest distributor in 1986 and coordinated the Initial Public Offering with the

Investment Bankers, Lawyers, and Accountants in 1987.

• Led operational assimilation of a $210 million acquisition and Quasi-Reorganization of ISOETEC, VODAVI,

and EXECUTONE. Combined & sized 45 sales offices and 7 regions in order to achieve optimum market

penetration and profit, including a reduction in force of 400 people. The combined operation in the

acquisition depicted a Pro Forma loss of $40 million that was turned into a $4 million profit in the first year.

• Responsible for manufacturing of an in-house facility producing $12 million annually and outside vendors

purchases of $45 million annually.

• Built a finance organization from a start-up department to an organization that included six regional offices

• Reduced debt from $100 million in 1988 to $25 million in 1994. Negotiated several Asset Based and

Commercial Banking Agreements, including a debt for equity exchange that reduced our debt by $15.0

million and reduced interest expense by $1.8 million.

• Negotiated two major divestitures of the company. Sale of the VODAVI Division for $12 million in 1990, and

the sale of our Direct Sales and Service Operation for $65 million in 1996.

• Developed and implemented separate plans which reduced inventory by $10 million and increased service

margins by six margin points.
