program), CGB Diversified Services, Inc. (Federal Crop Insurance

program), and GuideOne Mutual Insurance Co., (Federal Crop

Insurance program). (2007-2011)

. Designed and executed due diligence on several proposed

affiliations with prospective affiliates that provided key

information to decision making team including; Great Northwest

Insurance, Hawaii Insurance Guarantee, Reliamax, Pillar

Insurance, Conifer Insurance and Shelter Insurance Company.

. Negotiated and authored definitive agreements to affiliate, re-

domesticate and merge Cooperative Mutual Insurance Company with

and into Austin Mutual Insurance Company, thereby creating an

additional $20 million of surplus. (2010-2011)

. Negotiated and authored complex risk transfer agreements for

worker's compensation risks to American Interstate Insurance

Company that eliminated unprofitable line of business from

recently acquired insurance company. (2011)

. Negotiated and co-authored definitive agreements to affiliate

Austin Mutual with The Main Street America Group thereby pooling

the companies to create $1 billion in combined direct written

premium. (2012)

. Authored and negotiated purchase agreement and renewal rights

agreement to sell direct written book of commercial agribusiness

in South Dakota, North Dakota and Nebraska to strategic

Independent Agencies for the purposes of improving customer

experience and reducing company expense ratio. (2011-2012)

. Authored and negotiated joint marketing agreements, debt

instruments and guarantees to market, lend capital and support

strategic Independent Agents to facilitate agency growth and

ensure profitable premium growth. (2007-2011)

. Authored and negotiated several commercial real estate loans

involving the Austin Mutual investment portfolio in order to

diversify portfolio and realize greater return on investment.

agreement as owner and landlord of large industrial complex to

. Negotiated and authored lease agreement as owner and landlord of

commercial office to MN Independent Insurance Agents and Brokers

. Incorporated and governed sub-entities on behalf of Austin Mutual

Insurance Company including; Austin Calais, LLC, Austin Grove, LLC and

ALAMI, LLC. Maintained company record books and diligently directed

corporate governance of sub-entities. (2007-2013)

. Managed corporate litigation matters on behalf of Austin Mutual

including; management of outside counsel, implementation of litigation

management policies for claim department, participation in complex and

or large litigation matters including trials, arbitrations, mediations

. Draft, Propose, Pass and File Restated Articles of Incorporation and

Bylaws of Austin Mutual Insurance Company in order to facilitate

affiliations with Cooperative Mutual Insurance Company and The Main

negotiations, contract reviews and analysis, program analysis, program

changes and implementation.

Project Manager that resulted in the acquisition of land and
