Responsible for the legal management of Total Foods

Corporation, Streamline Foods, Inc., Arbor Foods, Inc. and their

subsidiaries, including litigation and risk management,

acquisitions and divestitures, reorganization of distressed

businesses, contracts, customs and international trade, collective

bargaining, financing, litigation, insurance and administrative

matters, with particular emphasis on foreign manufacturing

programs for duty- and quota-advantaged food products.

Responsibilities involved a substantial regulatory practice in

Washington, Ottawa and Mexico City before trade, customs,

agriculture and foreign-trade zone administrations. Major

transactions included:

- Lead counsel for sale of Total Foods’ assets to Streamline

Foods, Inc. (2002), and for the sale of Arbor Foods and

Arbor Dominion to Total Foods (1986);

- Lead counsel for lease renegotiation and bond financing in

connection with renovation of Arbor Foods’ Ohio facilities;

- Lead counsel for purchase (1995) and sale (1998) of

Pleasure Island Water Park, Muskegon, Michigan; for

purchase (1992) and sale (2000) of Northside Foods’

Canadian peanut butter operations; for acquisition of

Frankenmuth Brewery, Inc., and Old Detroit Brewing

Company (1994); and for purchase of major food processing

facilities in Windsor, Ontario (1990);

- Lead counsel for negotiation and lobbying effort in 1994 and

1995 in connection with the development and allocation of

Canadian export quota licenses of peanut butter and sugar-

containing products; company’s share was approximately

one-third of relevant U.S. market;

- Management of major eight-figure insurance claims in 1994

and 1996, and the subsequent reconstruction contracts;

- Negotiated and drafted numerous commercial transactions

including domestic and foreign commodity supply and sale

contracts, engineering, procurement and construction

contracts, equipment leases, bank and financing documents,

asset and stock purchase and sale agreements

- Establishment of foreign-trade zone operations and

negotiation of “grandfathered” foreign-trade zone operating
