Skylink Aviation is a $500 million + company based in Toronto Canada. Skylink USA, is

a subsidiary of Skylink Aviation and is located at Dulles Airport Virginia. As General

Counsel of Skylink USA I am responsible for and have substantial experience in

litigation management which includes development of effective legal strategy,

management of outside counsel and mitigation of legal costs; contract drafting and

review; drafting of transactional commercial documents and memorandum including

Non-Disclosure Agreements, Teaming Agreements etc; legal advisor to Skylink’s audit

management team which handles government financial audits and similar audits from

prime contractors (KBR, DYNCORPS, FLUOR), chief compliance officer as it relates to

corporate governance issues and the Department of Defense (DOD) and Department of

State (DOS) and Human Relations(HR) support as it relates to non-compete agreements,

employment agreements and severance issues. Specific expertise includes ITAR and

other export control issues; the Foreign Corrupt Practices Act (FCPA); Defense Base Act

Insurance (DBA) and related insurance issues and the “Competition in Contracts Act”

which covers US Government Bid protests.

PROFESSIONAL PRACTICE

Twenty years civil and criminal practice focusing on legal, regulatory and legislative

issues on behalf of both private and international companies as well as trade associations.

Particular expertise in tax, trade and financial issues. Non complete list of clients include:

Boston Capitol Financial, American Public Transit Association, the Limited, Mayo

Clinic, Cleveland Clinic, Colonial Williamsburg, American Airlines, Charles Schwab,

Chase Manhattan Bank, the Association of Bank Holding Companies, Marine Midland

Bank, MP 3, Software Publishers Association, the Community College Consortium on

Autism and Intellectual Disabilities.

Vice President of Legislative, Regulatory and Legal Affairs, Chase Manhattan Bank

Recruited by the Senior Vice President to handle legislative, regulatory and legal affairs

for the bank. Primary advocacy and legal/administrative work focused on issues relating

to tax, international finance and global lending institutions with particular emphasis on

the Far East and Latin America. Handled all legal and administrative filings having to do

with the bank’s Washington presence. Managed Chase’s Political Action Committee.

Director of Taxation, National Association of Manufacturers (NAM)

Handled high priority tax and pension issues for NAM’s membership including

successful effort to defeat the Alternative Minimum Tax (AMT), depreciation reform, the

expansion of the investment tax credit and various issues involving international tax.

Actively involved in major tax reform bills which were among the most successful

legislative efforts in NAM’s history. Worked closely with NAM’s president and the tax

directors of many Fortune 500 companies on regulatory and compliance issues

Staff Counsel, Committee on Banking, Housing, Urban Affairs, US Senate

Professional staff position on the Subcommittee on Financial Institutions. Responsible for

compliance issues on the part of commercial and investment banks. Worked with

compliance staff of the Federal Reserve Bank, Comptroller of the Currency, Office of

Thrift Supervision and the Securities and Exchange Commission. Represented the

Chairman of the Committee on selected compliance issues to include the Foreign Corrupt

Practices Act, Real Estate Settlement Procedures Act and the Administrative Procedures

Act.
