Description:

• Providing legal and transactional advice to all departments on legal matters and both local and cross-border transactions to safeguard the company and minimize risk exposure.

• Leading negotiation, drafting and/or review of all commercial contracts (e.g. concession contracts, cooling service agreements, construction services agreements, non-disclosure agreements, EPC, procurement contracts, O&M contracts, etc).

• Leading negotiation, drafting and/or review of all debt facility agreements, debt and equity instruments (convertible bonds etc), hedging instruments, project finance agreements (facility agreements, inter-creditor, security documents, direct agreements) etc.

• Leading negotiation, drafting and/or review of all merger and acquisition related matters and documentation, whether through sale of shares, sale of assets or statutory merger.

• Ensuring compliance with all applicable local and/or global laws, rules and regulations.

• Managing legal aspects of business development / investment and project related activities including pre-contract risk assessment, contract negotiation, MOU drafting and negotiation, transaction and project structuring and execution, etc. from a legal perspective to cater to the company’s business needs and protect its interests at appropriate risk levels.

• Identifying and assessing legal and commercial risks and developing action plans upon identified deficiencies or opportunities for improvement.

• Assisting on all legal aspects and impacts of any future district cooling regulator’s intended regulatory regime.

• Closely coordinating with UAE Legal to ensure alignment of our Oman approach, legal and compliance strategy, and policies with the UAE.

• Identifying, managing and monitoring activities performed by external legal counsel to ensure delivery of defined, cost effective and high quality legal services.

• Ensuring that the company’s rights vis-à-vis third parties are adequately protected, and support in managing litigation or court proceedings where necessary and defend the company against any claim or legal action.

• Reviewing, updating (or preparing) and following all relevant Department/Unit policies, processes, standard operating procedures and instructions so that work is carried out in a controlled and consistent manner.

• Advising the company on the application of the delegation of authority, constitutional documents and shareholders’ agreement and ensuring compliance with the same.

• Ensuring the organization adheres to legal frameworks in areas such as discipline & grievance, redundancy, and employment law.

• Ensure compliance to all relevant health, safety, and environmental management policies, procedures and controls across the department to guarantee employee safety, legislative compliance, and a responsible environmental attitude.

Requirements

Bachelor's Degree in Law.

5 years of relevant post-qualification experience in a top-tier international law firm

1 year of relevant post-qualification experience in an in-house legal role.

Experience in international cross-border transactions and projects.

Fluent in Arabic (speaking, reading and writing)

Fluent in English (speaking, reading and writing)

Global business law knowledge

In depth knowledge of applicable Omani legislation

Excellent drafting skills

Ability to review, analyse and summarise key documentation applicable to the business

Ability to condense complex legal matters into a digestible form for commercial teams

Ability to liaise effectively, and coordinate with, internal teams, external legal counsel and other vendors and service providers (at the international and local level).

Ability to work independently

Knowledge of district cooling is desirable but not mandatory
