Scope and Responsibilities

Based in Luxembourg, the role requires a highly organized, detailed and process orientated approach to provide operational support to the Legal team. Acting as a senior member of the Company Secretarial Pool, the Senior Company Secretary will be responsible for the day-to-day legal maintenance of the Luxembourg companies, which are invested in by the Oaktree funds, and ensuring that the team is operating in alignment with the team structure.

Company Secretarial responsibilities for the strategies assigned to the individual will include:

• Be in charge of the incorporation of new Luxembourg companies (opening of bank accounts, liaising with notaries, KYC pack, drafting of the AOIs and other necessary documents), routine corporate documentation (EGMs, share registers, etc.) and liquidations;

• Be in charge of the approval and RCS filing of the annual accounts (including the drafting and/or reviewing of the related documents);

• Collecting signatures of the transaction documents and the day-to-day legal documents in accordance with the AOAs/board meetings, etc.;

• Assisting the lawyer in charge of the strategy with the various transactions and work streams;

• Be in charge of the organization of the quarterly board meetings for the Luxembourg companies;

• Creation and maintenance of structure charts (including the Luxembourg Full Structure chart);

• Be in charge of harmonizing the templates across the strategies (including the creation of new documents);

• Ensuring that the Legal Entity Database is maintained by collaborating with the offshore Entities team;

• Assisting the Oaktree KYC team with the AML/KYC requests where necessary;

• Be in charge of the drafting of legal documents based on our templates such as loan agreements (IBLs, IFLs…); plain vanilla SPAs, clean-up documentations and related board minutes;

• Liaising with external law firms for clean-ups and transactions as required;

• Maintain and develop databases for the Luxembourg legal team and prepare various reports;

• Bringing support to the junior members of the team (review of documents, control of any and all related follow-up actions) and delegating tasks where necessary;

• Assisting with other projects as appropriate

Experience required

• At least 7 years in a corporate secretarial/paralegal function, preferably in Luxembourg;

• Experience in managing a large number of requests and demonstrating an exceptional focus on prioritizing tasks and meeting deadlines; and

• Strong organizational skills and good knowledge of the Microsoft Office pack, Adobe, etc.

Education

Bachelor degree

Fluent in English and French.
